By registering an account or accessing Vigatra, you agree to these Terms. If you're agreeing on behalf of a company, you represent that you have authority to bind that entity.
Vigatra is a compliance-monitoring platform that aggregates publicly-available on-chain data and exchange data (via read-only API keys you provide) about employees you designate. It is not a financial advisor, broker-dealer, custodian, or fiduciary. We do not trade, custody, or move any assets — Vigatra is read-only.
You may use Vigatra only to monitor employees who have consented to monitoring as part of their employment terms. You are responsible for ensuring employees are properly notified under applicable employment, privacy, and data-protection laws. Do not use Vigatra to surveil individuals who have not consented or who are not in an employment / contractor relationship with your firm.
Your data is governed by our Privacy Policy and (for Enterprise customers) a separately executed Data Processing Agreement. Vigatra acts as a Data Processor on your behalf; you are the Data Controller for employee data.
Pricing is set per your written agreement with Vigatra. Fees are non-refundable except where required by law. Past-due invoices may result in service suspension after 30 days.
Vigatra is provided "as is" without warranties of any kind. We do not warrant that the service will be uninterrupted, error-free, or that it will detect all suspicious activity. Compliance decisions remain your responsibility.
To the maximum extent permitted by law, Vigatra's aggregate liability shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
Either party may terminate for material breach with 30 days' written notice and an opportunity to cure. Upon termination, we'll retain your data for 90 days for transition purposes, then delete it.
These Terms are governed by the laws of the State of Delaware, United States. Disputes resolved by binding arbitration except for injunctive relief.
